Chandhiok & Mahajan Advises Lloyds and Thriveni on Major Business Integration Move

Chandhiok & Mahajan (C&M) advised the Lloyds Group and the Thriveni Group in securing approval from the Competition Commission of India (CCI) for a proposed multi-step transaction. The firm guided both parties through the process to achieve clearance.

Chandhiok & Mahajan (C&M) served as the legal advisor to both the Lloyds Group and the Thriveni Group for obtaining approval from the Competition Commission of India (CCI) for a proposed multi-step transaction.

This deal involves an open-market purchase of shares in Lloyds Engineering Works Limited by Thriveni Earthmovers Private Limited, along with the merger of Lloyds Infrastructure and Construction Limited, Techno Industries Private Limited, and Metalfab Hightech Private Limited into Lloyds Engineering Works Limited.

This multi-layered transaction includes an open-market share acquisition followed by a merger through absorption. Its objective is to enhance the collective strength of the two groups, create better efficiency and cost advantages, and streamline the overall shareholding structure within the group.

The Competition and Regulatory Practice team at C&M guided both business groups through the entire notification process and helped them secure the required antitrust approval.
