Khaitan & Co, alongside Simpson Thacher & Bartlett LLP, is advising Amneal Pharmaceuticals on its proposed USD 1.075 billion acquisition of Kashiv Biosciences LLC. The transaction includes the company’s two Indian subsidiaries, Kashiv Biosciences Private Limited and Kashiv Research Private Limited.
India’s leading law firm Khaitan & Co is acting as the India counsel for Amneal Pharmaceuticals, LLC, along with Simpson Thacher & Bartlett LLP.
The advisory support relates to Amneal’s announced agreement to purchase the entire stake in Kashiv Biosciences LLC, a fully integrated biopharmaceutical company based in the United States. The transaction also covers Kashiv’s two Indian subsidiaries Kashiv Biosciences Private Limited and Kashiv Research Private Limited.
Under the proposed deal structure, the consideration includes USD 375 million in cash and USD 375 million in equity at the time of closing. In addition, the agreement provides for up to USD 350 million through milestone-linked payments, commercial royalty arrangements, and operational funding until completion.
The transaction is targeted to conclude in the second half of 2026, subject to shareholder nod, regulatory clearances, and other standard closing requirements.
Khaitan & Co is supporting Amneal with India-focused legal and tax due diligence, advice on India law structuring, and preparation of all transaction-related documents.
The core team from Khaitan & Co was led by Partner Rabindra Jhunjhunwala, Partner Sameer Sah and Counsel Aman Anand, with assistance from Principal Associate Sayani Bhattacharyya and Associate Manya Vipin Chugh.
